    Legal Disclaimer

    The NexaPay software — including our plugin, dashboard and API — is supplied “as is” so that websites can communicate with third-party service providers through APIs. NexaPay is not responsible for misuse of its software or for illegal activity by merchants using it or by their customers. Card and other payments are handled solely by licensed third-party payment providers, while licensed third-party cryptocurrency and blockchain providers operate the wallet and payout side. Commissions earned by NexaPay or its affiliates and partners are also paid out through licensed providers. NexaPay sells software only; it is not a provider of payment, money-transfer or other financial services.

    Key terms used on this page:

    • NexaPay (also “we”, “us”, “our”, “the Service”, “our website”) — the NexaPay brand and everything provided under it through nexapay.one, including the website, the merchant dashboard, the WooCommerce plugin, the API and its documentation. More about us is on our About Us page.
    • You — anyone who visits or uses NexaPay, including Merchants.
    • Merchant — a person or business that opens a NexaPay account to accept payments.
    • Customer — a person who pays a Merchant through a checkout that uses NexaPay.
    • Third-Party Providers — the independent companies NexaPay connects to: licensed payment, cryptocurrency and blockchain providers, and the technology and API providers that link to them.
    • Terms (also “Terms of Use” or “Terms and Conditions”) — the terms on this page.

    Introduction

    These Terms govern every visit to and every use of NexaPay. By opening our website, creating an account or using any part of the Service, you confirm that you accept them in full; if you do not agree with any part of them, please do not use NexaPay. You may only use the Service if you accept these Terms and keep to them, and they apply to every visitor, Merchant, Customer and anyone else who uses it. Using our website without authorisation may make you liable for damages and may also be a criminal offence. These Terms are written in English and apply to all users, including those whose first language is not English. If you are a consumer, nothing in these Terms limits the rights that mandatory consumer law in your country gives you.

    Limitation of Liability

    To the maximum extent permitted by applicable law, neither NexaPay nor its owners, officers, directors, employees or contractors will be liable for anything that arises from, or is connected in any way with, your use of the Service or our website, whatever the legal basis of the claim. In particular, we are not liable for any indirect, incidental, special or consequential loss, including lost profits, revenue or data. If you rely on information or materials from our website, you do so at your own risk, and it is your responsibility to check that any product, service or information available through NexaPay suits your needs.

    We make no promise — and no third party makes any promise — that the information and materials on this website are accurate, complete, up to date, reliable or suitable for any particular purpose. They may include mistakes, and as far as the law allows, we accept no liability for them.

    Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under applicable law, such as liability for intentional misconduct, and it does not affect refunds available under our Refund Policy.

    Independent Parties — No Agency or Partnership

    These Terms do not make NexaPay a partner, joint venturer, agent, fiduciary or employer of any Third-Party Provider, Merchant, Customer or website operator, and no such relationship should be read into them.

    NexaPay works only as an independent provider of software technology. Every Third-Party Provider — whether it processes card payments, supplies cryptocurrency or blockchain infrastructure, provides software or API connectivity, or hosts content — is a separate company acting under its own name, licences and terms.

    No one may sign for, speak for or otherwise commit NexaPay to anything unless NexaPay has authorised it expressly and in writing.

    Intellectual Property Rights

    Apart from content that belongs to you, NexaPay and its licensors own all intellectual property rights in our website and the Service — including the software, the merchant dashboard, the plugin, the documentation, the NexaPay name and logo, and the website’s design, layout, look and graphics — unless a specific page states otherwise.

    Everything original in the Service, including its features, content and functionality, belongs exclusively to NexaPay and its licensors, now and in the future.

    We grant you a limited, revocable and non-transferable licence to view our website and to use the Service, the plugin and the API solely to integrate NexaPay into your own website, in line with these Terms.

    You may not copy, reproduce or republish any of this material except as these Terms allow. Open-source components included in our software remain subject to their own licences.

    Content, Copyright & Hosting Responsibility

    NexaPay does not host, store, publish, control or distribute the content of Merchants’ websites or of any other third-party website. Whatever is sold or shown on a website that uses our software is the responsibility of that website’s operator, who creates, hosts and manages it.

    Copyright, DMCA and other intellectual property complaints about such content should therefore be sent to whoever hosts or controls it — usually the website owner or its hosting company.

    NexaPay is not a host, publisher or intermediary for third-party content, and it does not decide intellectual property disputes. We have no technical means of removing or blocking content that sits on someone else’s website.

    Sending us a complaint does not create any obligation on our part where NexaPay neither hosts nor controls the content concerned. If you believe something on nexapay.one itself infringes your rights, however, please contact us and we will look into it. Where a complaint shows that a Merchant is using NexaPay for illegal activity, we will act under the “Prohibited Activities & Account Bans” section below.

    Restrictions

    Unless we have given you written permission, you must not:

    • sell, sublicense, publish or otherwise commercialise any material from our website in any medium;
    • show or perform any of our material in public for commercial purposes;
    • use our website or the Service in a way that damages, or could damage, NexaPay, its reputation or its systems;
    • disrupt other users’ access to the website or the Service, for example by overloading, attacking or probing our systems;
    • try to get around our security measures, access areas or accounts you are not authorised to use, or reverse-engineer our software except where the law expressly allows it;
    • use our website or the Service in breach of any applicable law or regulation, or in a way that harms people or businesses;
    • scrape, data-mine, harvest or extract data from our website or the Service by automated means.

    Some parts of our website are open only to signed-in Merchants, and we may restrict access to any part of it at any time, at our sole discretion. Your login details and any credentials linked to your account are confidential, and you must keep them that way.

    Prohibited Activities & Account Bans

    NexaPay welcomes high-risk businesses that operate lawfully, provided they use the plan intended for their business category. Serious illegal activity, however, is not allowed on NexaPay under any plan.

    You must not use NexaPay, directly or indirectly, for anything that is illegal under the laws that apply to you, your business or your Customers, including:

    • fraud, scams, phishing, fake online shops, or selling goods or services you do not intend to deliver;
    • money laundering, terrorist financing or sanctions evasion, including any dealings with sanctioned people, organisations or regions;
    • illegal drugs, or controlled substances and prescription medicines sold without the authorisation the law requires;
    • weapons, ammunition, explosives or their parts where selling them is illegal or requires a licence you do not hold;
    • any material or activity involving the sexual exploitation of minors, non-consensual intimate content, or human trafficking;
    • counterfeit, stolen or illegally obtained goods, including stolen payment card or account data;
    • malware, hacking services, or unauthorised access to other people’s systems or accounts;
    • gambling, investment or financial services offered without the licences required where they are offered, and pyramid, Ponzi or similar schemes;
    • accepting payments for any business, website or seller other than your own, unless we have agreed to it in writing;
    • misleading Customers about what they are buying, who they are buying from or the total price.

    If we detect serious illegal activity on an account, or confirm it after receiving a credible report, we will suspend the account immediately and without notice, delete it and permanently ban the person or business behind it from NexaPay. A banned person or business may not open new accounts, and we may close any account we reasonably believe is linked to them. For other breaches of this section, we may take the same steps. Where the law requires it, or where we receive a valid legal request, we may also share relevant information with the competent authorities.

    Choosing a plan that does not match your business category, or hiding what you sell, is a breach of these Terms and can lead to the same consequences.

    Payment Processing, KYC/AML & Compliance Responsibility

    Card payments, transaction settlement, holding of funds, customer identity checks (KYC), anti-money-laundering (AML) controls, sanctions screening and payment-related regulatory reporting are all carried out by licensed Third-Party Providers, not by NexaPay.

    NexaPay is not a payment processor, an acquiring bank, a money transmitter, a regulated financial intermediary or a merchant of record, and it never holds or moves Merchants’ or Customers’ funds.

    Each Third-Party Provider alone is responsible for meeting the financial rules that apply to it — including KYC, AML, transaction monitoring and fraud prevention — in the countries where it is licensed. A provider may ask a Customer to verify their identity before paying; any such check is carried out by the provider under its own policies.

    Questions about a specific payment — disputes, chargebacks, verification, account restrictions, compliance requests or regulatory matters — must go to the licensed provider that handled the transaction. Separately, NexaPay enforces its own Terms on Merchant accounts, as described in “Prohibited Activities & Account Bans” above.

    No Warranties

    NexaPay — including our website, dashboard, plugin and API — is provided “as is” and “as available”, with all its faults. We give no warranty or representation of any kind, express or implied, about it or about the materials on our website, and we do not promise that it will always be available, uninterrupted or free of errors. Nothing on our website is legal, financial, tax or investment advice. You use the Service at your own risk.

    Your Content

    “Your Content” means any text, images, business name, logo or other material you add to your account, your checkout or any other part of the Service. You keep ownership of Your Content. By adding it, you give NexaPay a worldwide, non-exclusive, royalty-free licence to store, copy, adapt, display and transmit it as needed to run, provide and improve the Service, always in line with our Privacy Policy.

    You must own Your Content or have permission to use it, and it must not infringe anyone’s rights or break the law. We can remove or hide it whenever we choose, without telling you first.

    Cryptocurrency Custody & Key Management

    The wallet infrastructure behind each payment — including creating payment addresses, generating and storing private keys and signing transactions — is operated by independent, licensed Third-Party Providers integrated into the Service.

    NexaPay never generates, receives, stores or controls seed phrases, private keys or any other wallet credentials, and it cannot access or move any digital assets on its own. Payouts go to the self-custodial wallet address that you enter in your account, and only you control that wallet.

    Authority over digital assets in transit rests with the provider that operates the relevant wallet or blockchain infrastructure. Blockchain transactions cannot be reversed once they are confirmed.

    Accounts

    You need a NexaPay account to accept payments. To register, you provide an email address, may add your business name, and enter the self-custodial wallet address where you want to receive payouts. We do not ask Merchants for business registration (KYB) documents to open an account, but everything you give us must be accurate, complete and kept up to date. Giving false information is a breach of these Terms and may lead to your account being suspended or closed immediately.

    You are responsible for keeping your password and login details safe and for all activity under your account. Do not share your login details with anyone, and tell us immediately at [email protected] if you notice any unauthorised use of your account or any other security breach.

    You are also responsible for the wallet address in your account. Check it carefully whenever you add or change it — NexaPay cannot reverse or recover payouts sent to a wrong address.

    Indemnification

    You agree to indemnify and hold harmless NexaPay and its owners, officers, employees and contractors against all claims, losses, liabilities, damages, fines, costs and expenses (including reasonable legal fees) that result from your breach of these Terms or, if you are a Merchant, from the products and services you sell through NexaPay.

    Severability

    If a court or competent authority finds any part of these Terms invalid or unenforceable, that part will be limited or removed only as far as necessary, and the rest of these Terms will stay fully in force.

    Variation of Terms

    We can change these Terms whenever and however we consider appropriate. The version published on this page always applies, so please review it regularly.

    Age Restriction

    NexaPay is intended for adults only. You must be at least 18 years old — or older, if the age of majority is higher where you live — to use our website or open an account. We do not knowingly allow minors to use the Service.

    Assignment

    NexaPay may transfer, assign or subcontract its rights and obligations under these Terms at any time and without notice to you. You need our prior written consent before passing any of your rights or obligations under these Terms to someone else.

    Entire Agreement

    These Terms, together with our Privacy Policy, Refund Policy and any additional terms described below, make up the whole agreement between you and NexaPay about your use of the Service, and they replace any earlier agreements or understandings on the same subject.

    Governing Law and Jurisdiction

    These Terms and all use of NexaPay are governed by the laws of the Republic of Estonia, without regard to its conflict-of-law rules.

    Any dispute, claim or proceeding arising out of or relating to NexaPay or these Terms will be settled exclusively by the competent courts of Estonia, with Harju County Court (Harju Maakohus) in Tallinn as the court of first instance.

    By using our website or software, you accept the jurisdiction of the Estonian courts and give up any objection to their jurisdiction or to Estonia as the place of proceedings. If you are a consumer, this does not remove any protection, or any right to bring proceedings, that the mandatory law of your country of residence gives you.

    Additional Terms

    Some parts of the Service come with additional terms — for example, the plan you select, the fees and limits shown on our website or in your dashboard, our API documentation and our plugin licence. Where additional terms apply, they form part of these Terms, and if they conflict with these Terms, the additional terms take priority for that part of the Service.

    Termination

    We may suspend, restrict or end your access to NexaPay, or close your account, at any time and for any reason, without prior notice and without liability. In cases of serious illegal activity, we will do so immediately.

    Once your access ends, you may no longer use the Service. Any part of these Terms that by its nature should continue after termination will continue to apply, including the provisions on intellectual property, disclaimers, indemnification and limitation of liability.

    You can stop using NexaPay at any time. To close your account, email [email protected] from the address registered to it.

    Links to External Sites

    Our website and checkout may link to websites run by others, including the pages of Third-Party Providers where Customers complete their payments. NexaPay does not operate those websites and has no control over their content, terms, privacy policies or practices, so we accept no responsibility for them. We recommend reading their terms and policies before using them.

    Changes in These Terms

    When we update these Terms, we publish the new version on this page and change the “Last Updated” date at the top. If a change significantly affects Merchants, we may also email the address registered to your account. Most updates are minor. If you keep using NexaPay after an update, you accept the new version; if you do not agree with it, stop using the Service and close your account.

    Cookies

    NexaPay only uses cookies and similar storage that are strictly necessary for the website to work — for example, to keep you signed in to your account and to protect the Service against abuse. We do not use analytics, advertising, profiling or cross-site tracking cookies, and we do not share cookie data with third parties for such purposes.

    Strictly necessary cookies do not require consent, so you will not see a cookie banner on our website. If we ever add other types of cookies, we will ask for your consent first. You can read more in our Privacy Policy.
